These Terms and Conditions (“Agreement”) set forth the general terms and conditions of your use of the services provided by VibeLensAI (“Contractor”, “we”, “our”, or “us”) and govern your access to and use of our content creation services (“Services”). By accepting a quotation, signing a project agreement, or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms
By engaging with our services, you (“Customer”, “Client”, “you”) agree to these Terms & Conditions and any other written agreement provided to you. This includes our Privacy Policy and Refund Policy, which together constitute the full agreement between the parties.

2. Modifications
We reserve the right to revise these Terms at any time. Updates will be posted on our website, and continued use of the Services after such changes constitutes your acceptance.

3. Definitions
Contractor: VibeLensAI
Customer: The entity or individual ordering the Services
Agreement: The legal contract between VibeLensAI and the Customer, including these Terms and any service proposal or invoice
Services: All deliverables provided as part of the agreement, including creative assets, strategy, visual content, etc.

4. Scope of Work
All services delivered will be as outlined in the approved quote, proposal, or invoice. Any additions or changes to scope may incur additional costs.

5. Payment Terms
Payment terms are specified in the invoice. Unless otherwise agreed, payment is due upon receipt. Late payments may result in paused services or additional charges.

6. Revisions and Approvals
Customer will be allowed a reasonable number of revisions as stated in the agreement. Additional changes may be charged separately. Timely feedback is expected for the delivery timeline to be maintained.

7. Intellectual Property
Unless otherwise agreed in writing, VibeLensAI retains the rights to all raw project files and source materials. Final deliverables may be used in the Client’s marketing upon full payment.

8. Confidentiality
Both parties agree to maintain confidentiality of all proprietary or sensitive information shared during the project.

9. Termination
Either party may terminate the agreement with written notice. If terminated by the Customer without cause, work completed up to that point will be billed accordingly, and no refunds will be issued for pre-paid services.

10. Refund Policy
Refunds are subject to our discretion and only considered in the following cases:

VibeLensAI is unable to deliver the agreed-upon service
Customer cancels within 24 hours of payment and no work has commenced
No refunds will be given once a project has entered production or post-production phases.

11. Service Delivery Timeline
Delivery timelines are estimates and may vary based on project scope, client responsiveness, and external factors. Delays caused by the Client (e.g., slow feedback, missing materials) may result in rescheduling or additional fees.

12. Use of Content for Marketing
Unless otherwise agreed in writing, VibeLensAI reserves the right to showcase final deliverables in its portfolio, social media, or marketing materials.

13. Third-Party Materials
Any stock images, music, or third-party elements used in the project may be subject to additional licensing costs or terms, which will be disclosed to the Client in advance.

14. Limitation of Liability
To the maximum extent permitted by law, VibeLensAI shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, even if advised of the possibility of such damages

15. Force Majeure
We shall not be liable for any delay or failure in performance due to events beyond our reasonable control, such as natural disasters, internet outages, acts of government, or strikes.

16. Independent Contractor
VibeLensAI is an independent contractor. Nothing in this agreement shall be construed to create a partnership, joint venture, or employer-employee relationship.

17. Entire Agreement
These Terms, together with the agreed-upon proposal and invoice, constitute the full and complete understanding between the Client and VibeLensAI, superseding all prior agreements or understandings.

18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles.
